Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Point of Sale (POS) and Inventory Management software and the DevSpace Systems Affiliate Partner Program provided by DevSpace Systems ("we", "us", or "our"). By accessing or using the software or registering as an affiliate, you agree to be bound by these Terms.

1. Software License & Usage

Subject to your payment of the applicable setup fees, we grant you a non-transferable, non-exclusive license to use the DevSpace POS software for your internal business operations. You may not:

• Copy, modify, or create derivative works of the software.
• Reverse engineer, decompile, or attempt to extract the source code of the software.
• Resell, sublicense, or distribute the software to third parties without our explicit written consent.

2. Account Responsibilities

You are responsible for safeguarding the passwords and accounts you use to access the software. You agree to notify us immediately of any unauthorized access to or use of your accounts. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

3. Payment and Fees

Our software is provided on a one-time setup fee basis unless otherwise specified. Any additional custom modules, advanced hardware, or subsequent years of web hosting (if applicable) may incur additional charges as outlined in your initial invoice and agreement.

4. Data Ownership and Backups

You retain full ownership of all business data, inventory records, and customer information you input into the POS system. While the software provides backup functionalities, you are solely responsible for routinely exporting and securing backups of your data. We are not responsible for accidental data loss caused by user error or hardware failure.

5. Affiliate Partner Program Terms

DevSpace Systems operates a voluntary Affiliate Partner Program ("Program") that allows registered individuals ("Affiliates") to refer potential customers and earn a commission for each successfully completed sale. By registering for the Program, you agree to the following additional terms:

5.1 Eligibility

• You must be at least 18 years of age and legally capable of entering into a binding agreement.
• You must provide accurate, complete, and truthful information during registration, including your full name, valid email address, and payout details.
• DevSpace Systems reserves the right to accept or reject any affiliate application at its sole discretion, without obligation to provide a reason.

5.2 Referral Links & Tracking

• Each affiliate is assigned a unique referral code and tracking link. You may share this link through legitimate, honest marketing channels only.
• Commissions are only awarded for referrals that result in a verified, paid purchase as confirmed exclusively by DevSpace Systems.
• DevSpace Systems reserves the right to verify the authenticity of any referral before approving a commission payment.
• Self-referrals — using your own referral code to refer yourself or entities under your direct control — are strictly prohibited and will result in immediate account suspension without payment.

5.3 Commission Rates & Payments

• The current default commission rate is set by DevSpace Systems and is subject to change at any time, with or without prior notice.
• Commission rates applicable to a referral will be those in effect at the time the referral was first registered in our system.
• Commissions are paid out only after the referred customer has completed a verified purchase and the mandatory review period (if any) has elapsed.
• DevSpace Systems reserves the right to withhold, adjust, or reverse commission payments in cases of suspected fraud, abuse, chargebacks, or violation of these Terms.
• Commission payouts are made via Mobile Money (MoMo) or Bank Transfer to the payout details registered in your affiliate account. You are solely responsible for ensuring your payout details are accurate. We are not liable for failed or misdirected payments resulting from incorrect information provided by you.

5.4 Prohibited Conduct

As an affiliate, you are strictly prohibited from:

• Making false, misleading, or exaggerated claims about DevSpace Systems, its products, or its pricing in any promotional material.
• Spamming individuals through unsolicited messages, bulk emails, or automated messaging systems.
• Creating fake or fraudulent referral leads, duplicate accounts, or using automated scripts to generate referrals.
• Bidding on DevSpace Systems branded keywords in paid advertising platforms (e.g., Google Ads) without explicit written permission.
• Impersonating DevSpace Systems staff, representatives, or officials in any communication with potential clients.
• Using any referral code or link that you did not personally register, or sharing your referral code for the purpose of collecting commissions fraudulently.

5.5 Affiliate Account Termination

• DevSpace Systems may suspend or permanently terminate your affiliate account at any time, without prior notice, if we determine — at our sole discretion — that you have violated any part of these Terms, engaged in fraudulent activity, or conducted yourself in a manner that is damaging to our business or reputation.
• Upon termination for cause, any pending or unpaid commissions may be forfeited.
• You may voluntarily close your affiliate account at any time by contacting us at info@devspacesystems.org. Any legitimately earned and verified commissions at the time of voluntary closure will be paid out according to our standard schedule.

5.6 No Employment or Agency Relationship

Your participation in the Affiliate Program does not create an employment, partnership, joint venture, or agency relationship between you and DevSpace Systems. You are an independent contractor. You have no authority to bind DevSpace Systems to any agreement, contract, or obligation.

5.7 Tax Obligations

You are solely responsible for reporting and paying any taxes applicable to commission income you receive through the Affiliate Program. DevSpace Systems does not withhold taxes from affiliate commissions and will not be held liable for your failure to comply with applicable tax laws.

5.8 Indemnification

You agree to indemnify, defend, and hold harmless DevSpace Systems, its directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your participation in the Affiliate Program; (b) your violation of these Terms; (c) any fraudulent referral activity you engage in; or (d) your marketing activities undertaken in relation to the Program.

6. Limitation of Liability

To the maximum extent permitted by applicable law, DevSpace Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, use, goodwill, business opportunities, or other intangible losses — resulting from: (a) your access to, use of, or inability to use the software or the Affiliate Program; (b) any fraudulent activity by a third party using the referral system; (c) delays or errors in commission calculations or payments; or (d) any action or omission of yours as an affiliate.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.

8. Changes to Terms

We may modify these Terms at any time. We will provide notice of significant changes by updating the date at the top of this page. Your continued use of the software or Affiliate Program after any modifications constitutes your acceptance of the revised Terms.
